1. Acceptance of Terms

By accessing or using the Platform, you confirm that you have read, understood, and agreed to be bound by these Terms and our Privacy Policy. If you do not agree, you may not use the Platform.

2. Definitions

• "Platform" means the Kridexa ERP software, website, and related services.
• "Academy" means the sports academy or organisation registered on the Platform.
• "User" means any individual accessing the Platform (academy owner, coach, staff, athlete, or parent).
• "Content" means data, text, images, and information uploaded to the Platform.

3. Account Registration and Responsibilities

3.1 You must provide accurate, current, and complete information during registration.

3.2 You are solely responsible for maintaining the confidentiality of your login credentials.

3.3 You are responsible for all activities that occur under your account. Notify us immediately of any unauthorised use.

3.4 Each academy account may have multiple user roles (admin, coach, staff) with varying access levels.

3.5 You must be at least 18 years of age to register an academy account.

4. Subscription Plans and Payments

4.1 Subscription fees are billed monthly or annually as selected at the time of registration.

4.2 Fees are non-refundable except as expressly provided in our Refund Policy.

4.3 We reserve the right to modify pricing with 30 days' advance notice via email or platform notification.

4.4 Non-payment may result in suspension of access. Accounts past due for 60 days may be terminated.

4.5 All fees are in Indian Rupees (INR) and applicable taxes (GST) will be charged as per Indian tax laws.

5. Acceptable Use

You agree NOT to:

• Use the Platform for any unlawful purpose or in violation of Indian law.
• Upload malicious code, viruses, or content that could harm the Platform.
• Attempt to breach security, access another academy's data, or bypass access controls.
• Reverse-engineer, decompile, or copy the Platform's underlying technology.
• Use the Platform to send unsolicited communications (spam).
• Upload content that is defamatory, obscene, or violates the rights of others.

6. Data Ownership and Intellectual Property

6.1 You retain full ownership of all data and content you upload to the Platform. We claim no intellectual property rights over your data.

6.2 The Kridexa ERP software, logo, brand name, design, and underlying technology are the exclusive property of Winstreet Infotech and are protected by Indian copyright and intellectual property laws.

6.3 You may not reproduce, distribute, or create derivative works of the Platform without our express written permission.

7. Data Backup and Portability

7.1 We perform regular automated backups of Platform data. However, you are encouraged to maintain your own backups.

7.2 Upon request, we will provide your data in a commonly used portable format (CSV, PDF) within 30 days of account termination.

8. Limitation of Liability

8.1 The Platform is provided on an "as is" and "as available" basis without warranties of any kind, either express or implied.

8.2 We do not guarantee that the Platform will be uninterrupted, error-free, or secure at all times.

8.3 To the maximum extent permitted by Indian law, Winstreet Infotech shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Platform.

8.4 Our total liability shall not exceed the total fees paid by you in the 12 months preceding the claim.

9. Indemnification

You agree to indemnify and hold harmless Winstreet Infotech, its directors, employees, and affiliates from any claims, losses, damages, or expenses (including legal fees) arising from your breach of these Terms or your misuse of the Platform.

10. Termination

10.1 You may terminate your account at any time by contacting support. Fees paid up to the date of termination are non-refundable.

10.2 We reserve the right to suspend or terminate accounts that violate these Terms, with or without notice.

10.3 Upon termination, your access to the Platform will be revoked. Your data will be retained for 12 months before secure deletion, unless you request earlier deletion.

11. Service Level

We aim for 99.5% platform uptime, excluding scheduled maintenance and force majeure events. Support requests are responded to within 24 hours on business days.

12. Governing Law and Dispute Resolution

12.1 These Terms are governed by the laws of India.

12.2 Any disputes shall first be resolved through good-faith negotiations.

12.3 If unresolved, disputes shall be submitted to binding arbitration in accordance with the Arbitration and Conciliation Act, 1996, in English in Mumbai, Maharashtra.

12.4 Subject to the arbitration clause, the courts in Mumbai, Maharashtra shall have exclusive jurisdiction.

13. Changes to Terms

We may update these Terms from time to time. Material changes will be communicated via email or platform notice. Continued use of the Platform after such notice constitutes acceptance of the revised Terms.

14. Entire Agreement

These Terms, together with the Privacy Policy and any referenced policies, constitute the entire agreement between you and Winstreet Infotech regarding the use of the Platform.
